Companies Act, 1956–Sec. 111A & 122–Suit for declaration, mandatory and perpetual injunction against the forfeiture of plaintiffs right to receive the equity shares–Decreed by the first appellate Court–Plea of the bar of jurisdiction–Appeal can be filed before the Company Law Board in a case where the Company refuses to register/transfer/transmis-sion of shares or debentures–Provisions do not deal with a case of forfeiture of either shares or debentures–Provisions of Sec. 122 provide for specific performance of the contract to subscribe for debentures and same can be enforced by a decree– Allotment or forfeiture of debentures can be questioned before the Civil Court–Plea of lack of jurisdiction has no substance.
