Negotiable Instruments Act, 1881–Secs. 138 & 141–Code of Criminal Procedure, 1973–Sec. 482–High Court can quash the complaint despite the basis averments–It may come across some unimpeachable evidence or acceptable circumstances which may in its opinion lead to the conclusion that the Director could never have been in-charge of and responsible for the conduct of the business of the Company at the relevant time and therefore making him stand and trial would be abuse of the process of Court as no offence is made out against him.
